Brennan Manna Diamond Welcomes Two New Members to the Cleveland Office

BRENNAN, MANNA & DIAMOND is pleased to welcome Shelly R. LaSalvia and Kirk W. Roessler as Members to its Cleveland office. With the addition of Shelly and Kirk, BMD expands its real estate, finance, corporate, and mergers & acquisition practice areas while increasing the bench strength of the Cleveland office. The addition supports the firm’s goal of increasing the capacity and presence of its Cleveland office, which includes a recent office renovation and size increase in its current prime location within the 200 Public Square downtown building.

About Shelly R. LaSalvia

Shelly is a Member who provides legal counsel to corporate clients and individuals in various areas such as emerging businesses, capital raises, fund formation, private equity, general outside counsel services, commercial finance, joint ventures, succession planning, tax controversy, and bankruptcy and creditors' rights services. Recognized among the top five percent of bankruptcy and creditors' rights attorneys in Ohio, Shelly is uniquely positioned to guide clients through sophisticated distressed investment and related transactions. About Kirk W. Roessler

Kirk brings to BMD more than three decades of experience in corporate, real estate, and commercial finance matters. His corporate practice centers on resolving issues and achieving results for small and middle-market businesses and emerging enterprises with entity formation and governance; mergers, acquisitions, and dispositions; vendor and customer contractual relationships; and commercial debt and capital raises. He also represents financial institutions in connection with various financing transactions, including originating C&I, construction, and commercial real-estate loans, floorplan loans, and equipment financing; modifying and amending loan documents; restructuring debt; and enforcing lender’s rights and remedies, including representing creditors in Chapter 11 cases. With a focus on hospitality properties, Kirk also provides practical, solution-based legal advice to clients in connection with the acquisition, ownership, development, leasing, management, financing, and disposition of commercial real estate.

Press Release: Fluresh Completes Historic Cannabis Industry Financing With $48 Million in Engagements From Federally Chartered Bank

Fluresh LLC, one of the largest vertically integrated cannabis operators in Michigan, announced today the closing of a senior secured note with a federally regulated commercial bank headquartered in southeast Michigan. The secured Bank Note closed on December 28, 2021, and is for aggregate gross proceeds of $25 million. The Bank Note has a variable interest rate and, at the time of closing, bore an interest rate of 5.75% per annum with 50% of the aggregate proceeds capped at 7.0%.
